1. Partnership Structure:
  •  General Partner Name: VCG Management
    Responsible for fund management, investment decisions, and oversight.
  •  Limited Partnership Name: 
     Investors who contribute capital in exchange for limited risks and returns.
2. Partnership Size:
  • 1999
     Reflects the number of units available or total fund size in monetary terms.
3. Minimum Commitment:
  •  100K, REG D(506)C, Accredited Investors Only
     Minimum investment threshold set to ensure participant commitment.
    Compliance with SEC Regulation D, limited to accredited investors.
4. Commitment Period:
  • 10 Years (7 Year Target)
     Duration in which the capital should remain invested to realize intended
    returns.
5. Target Return:
  • 18 – 25% APY
    Anticipated annual percentage yield offered to investors, based on historical performance and forecasted growth.
6. Current Interest:
  •  Above 100% Yield
     Reflects strong financial performance exceeding initial projections.
7. Offering Period:
  •  12 Months
    Time frame in which investors can make a commitment to the fund.
8. Management Fee:
  •  3%
    Annual fee based on invested capital, covering operational and administrative
    costs.

9. Preferential Return:
  •  7%
     Investors receive a prioritized return before profits are shared with the General
    Partner.
10. Catch-Up:
  • 50/50 Split
     Allocation of profits after the preferential return, enabling the General Partner to ‘catch up’ with the Limited Partners’ return.
11. Carried Interest:
  •  80/20 Split
     Method of profit-sharing where 80% goes to Limited Partners and 20% to General Partner post-preferred distribution.
12. Reporting:
  •  Quarterly
     Frequency of performance updates and financial statements provided to investors.
